Terms of Service

1. Acceptance and authority

By accessing or using Acerite Reputation (the “Service”), you agree to these Terms. If you use the Service for a company or other organization, you confirm that you have authority to bind it. You must be at least 18 years old and legally able to enter this agreement. If you do not agree, do not use the Service.

2. Accounts and authorized use

You must provide accurate information, protect credentials, use individual accounts, and promptly report suspected compromise. Workspace owners control membership and roles. You are responsible for actions performed through your account unless caused by Acerite’s breach of these Terms.

We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations during an active subscription or agreed service period. Any order form or signed commercial agreement applies in addition to these Terms and controls if it expressly conflicts with them.

3. Customer feedback and review integrity

You must use Acerite in a fair, lawful, and transparent way. You may not use the Service to create false reviews, impersonate customers, selectively direct only satisfied customers to public review sites, suppress legitimate negative feedback, offer prohibited incentives, harass reviewers, or violate a review platform’s policies. Businesses are responsible for their notices, lawful basis, and responses to customer requests relating to feedback they collect.

4. Google Business Profile connection

A user may connect only Google Business Profiles they are authorized to manage. Google features are also governed by Google’s terms, policies, permissions, quotas, and API availability. Acerite requires explicit authorized approval before supported writes such as publishing a reply or post, changing profile information, or adding media. You remain responsible for reviewing and approving content before publication.

Google may change, restrict, or discontinue an API. Acerite may remove or adjust an affected feature to remain compliant and secure. Disconnecting the integration stops future access through the stored connection, subject to normal audit and backup retention.

5. Your content and responsibilities

You retain ownership of business content and feedback submitted to your workspace. You grant Acerite the rights needed to host, process, display, transmit, and back up that content solely to operate and improve the Service. You must have all permissions needed for content you provide and must not upload unlawful, infringing, malicious, or highly sensitive information that the Service is not designed to handle.

6. Prohibited conduct

• Access another business’s workspace or data without permission.
• Probe, bypass, disable, or interfere with security, rate limits, tenant isolation, or audit controls.
• Reverse engineer or copy the Service except where applicable law cannot prohibit it.
• Use automated traffic that harms availability or exceeds documented platform limits.
• Use the Service for spam, deception, unlawful surveillance, or rights violations.

7. Availability, changes, and support

We work to provide a reliable Service but do not promise uninterrupted or error-free operation. Maintenance, provider outages, security incidents, and third-party platform changes may affect availability. We may improve, replace, limit, or discontinue features, with reasonable notice where practical for a material reduction to a paid service. Support commitments, if any, are defined in the applicable commercial terms.

8. Fees, suspension, and termination

Fees, taxes, renewal, and payment terms are stated in the applicable order or plan. We may suspend access for non-payment, material breach, unlawful use, security risk, or harm to the Service or third parties. Either party may terminate as allowed by the applicable commercial terms. Provisions that by nature should survive termination, including payment, confidentiality, intellectual property, disclaimers, liability, and dispute provisions, will survive.

9. Intellectual property

Acerite and its licensors own the Service, software, designs, documentation, and related intellectual property, excluding your content and third-party services. Feedback about the Service may be used without restriction or obligation, provided we do not identify you publicly without permission.

10. Disclaimers and liability

To the extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Acerite does not guarantee improved ratings, review volume, search ranking, revenue, or the continued availability of a third-party platform.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data. Acerite’s aggregate liability relating to the Service will not exceed the fees paid or payable for the Service during the twelve months before the event giving rise to the claim. Nothing limits liability that cannot legally be limited.

11. Governing law and contact

These Terms are governed by the laws of the United Arab Emirates and, where applicable, the Emirate of Dubai, without regard to conflict-of-law rules. Courts with jurisdiction in Dubai will have exclusive jurisdiction unless mandatory law requires otherwise. Questions about these Terms can be sent to team@acerite.com.
